Terms of Service

By creating an account or using PotenzaAI ("the Service"), you agree to these Terms. If you don't agree, don't use the Service.

1. What PotenzaAI Is

PotenzaAI is a software-as-a-service platform that provides real-time AI coaching for real estate wholesalers during phone calls with sellers. The Service includes live transcription, suggested responses, post-call deal intelligence summaries, and pipeline management tools.

2. Eligibility

You must be at least 18 years old and authorized to enter contracts to use PotenzaAI. The Service is intended for business use by real estate professionals.

3. Your Account

• You're responsible for keeping your password secure.
• You're responsible for all activity that happens under your account.
• One account per person. Sharing accounts across multiple users requires the appropriate team plan.
• You must provide accurate contact information.

4. Acceptable Use

You may not:

• Use the Service to harass, defraud, or harm others.
• Use the Service in violation of any law, including telemarketing or robocall regulations (TCPA, state laws, etc.).
• Attempt to reverse engineer, scrape, or copy the Service.
• Resell or sublicense the Service without our written permission.
• Upload malicious content or attempt to compromise our systems.

5. Call Recording and Compliance

PotenzaAI records and transcribes the calls you initiate through the Service. You are solely responsible for complying with all applicable call-recording laws, including obtaining consent from the other party where required by law (this is a "two-party consent" requirement in many U.S. states).

You agree to indemnify and hold us harmless from any claims arising from your failure to obtain required consents.

6. AI-Generated Content

The Service uses AI to generate suggested responses, transcripts, and deal summaries. AI output is informational only and may contain errors. You are responsible for:

• Reviewing and verifying any AI-generated content before acting on it.
• All commitments, offers, and decisions made during your calls.
• Any consequences of relying on AI-generated suggestions.

PotenzaAI does not provide legal, financial, or real-estate-licensing advice.

7. Subscriptions and Payment

• Paid plans are billed monthly or annually in advance.
• Prices and features may change; we'll notify you in advance of any changes that affect your active subscription.
• You can cancel anytime. Cancellation takes effect at the end of your current billing period; we don't pro-rate refunds for partial months.
• If your payment fails, we may suspend or terminate your account.

8. Free Trials and Promo Codes

Free trials and promotional codes (such as the BETA code) are subject to fair-use limits. We may revoke promotional access if usage appears abusive or fraudulent.

9. Service Availability

We aim for high uptime but don't guarantee uninterrupted service. The Service depends on third-party providers (Twilio, Deepgram, Anthropic, Railway, Netlify) whose outages may affect availability.

10. Intellectual Property

PotenzaAI and all related content, branding, and software are owned by us. You retain ownership of the content you upload (call recordings, transcripts, notes), but you grant us a limited license to process and store it as needed to operate the Service.

11. Termination

You may delete your account at any time from the settings page. We may suspend or terminate your account if you violate these Terms. Upon termination, your access to the Service ends and your data is removed within 30 days, except as required by law.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST DEALS, LOST PROFITS, OR LOST DATA.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email. Continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Cuyahoga County, Ohio.
